Credit and retirement drove stronger revenue and margins, while PitchBook slowed, free cash flow fell and acquisition funding increased debt.
By June 30, Morningstar had materially improved consolidated profitability, but growth quality was uneven across its product portfolio. Credit ratings and retirement services accelerated, while slower PitchBook activity and higher debt complicated the otherwise stronger operating result.
First-quarter revenue increased 10.8% to $644.8 million, or 7.6% organically. Morningstar Credit revenue rose 38.4% and Retirement revenue increased 17.9%, while PitchBook grew only 5.3% as venture-capital activity slowed and corporate-client softness persisted. Morningstar Direct revenue increased 8.0%, despite a 1.8% decline in licenses as some workflows shifted.
Operating margin expanded to 24.2% from 19.6% and adjusted operating income increased 31.9% to $178.6 million. Free cash flow nevertheless fell 8.8% to $53.6 million, and debt rose to $1.71 billion from $1.07 billion after the CRSP acquisition; the acquired business helped adjusted margin. The planned disposal of ByAllAccounts further focused the portfolio, but the proceeds and operating effect were undisclosed by quarter-end.
The shares declined 7.4% during the quarter while the S&P 500 rose 14.9%, and fell 10.1% on April 30, the first trading day after results. The negative response despite higher margins was consistent with concern about slower PitchBook growth, cash conversion and acquisition-funded leverage, though the evidence does not isolate their relative importance.

Morningstar sells investment data, research, software, ratings, indexes, and portfolio services. Its five reportable segments are Morningstar Direct Platform, PitchBook, Morningstar Credit, Morningstar Wealth, and Morningstar Retirement. Sustainalytics, Morningstar Indexes, and smaller activities sit in Corporate and All Other. The group had wholly owned subsidiaries in 31 countries outside the United States at year-end 2025.
Direct Platform combines Morningstar Data feeds, Direct analytics, and Advisor Workstation. Its users include asset managers, wealth managers, advisers, analysts, product teams, and redistributors. PitchBook supplies private-market company, transaction, investor, fund, and professional data to investors, advisers, lenders, and corporations. Morningstar Credit earns mainly transaction revenue from issuer-paid ratings and related analytics. Wealth and Retirement provide managed portfolios, advice, and workplace-retirement services; together with related activities, Morningstar reported approximately $378.0 billion of assets under management and advisement. Indexes license benchmarks to asset managers and product issuers, while Sustainalytics sells ESG data and research.
The economic activity is not merely publishing information. Morningstar collects and licenses source data, standardizes identifiers and classifications, employs analysts, maintains methodologies, builds software and APIs, embeds outputs in customer workflows, distributes data reliably, and operates regulated ratings and advisory entities. Payers are institutions, advisers, issuers, plan sponsors, asset managers, and end investors through product or advisory fees. Their needs differ: workflow efficiency and comparable data for subscriptions, capital-market access for ratings, benchmark credibility for indexes, and portfolio outcomes and compliance for managed assets.
Customers can replace Morningstar with Bloomberg, LSEG, FactSet, S&P Global, MSCI, Moody's, private-market specialists, internal research, exchanges, public filings, and narrower software vendors. Advisers can use custodian or broker tools; asset owners can internalize investment management; issuers can select another qualified rating agency. Free web information is an alternative for simple questions but not necessarily for normalized histories, entitlements, audit trails, or production-grade feeds.
Purchase criteria include data breadth and accuracy, update speed, methodology credibility, software usability, integration cost, regulatory acceptance, coverage of private or thinly disclosed assets, security, service, and price. For ratings and indexes, independence and market recognition matter as much as software features. For advisers and retirement plans, fiduciary support, model governance, implementation, and operational continuity matter.
Switching has no legal impossibility, but consequences can be material. A customer must remap data fields, rebuild models, retrain users, retest compliance controls, alter client reports, and sometimes renegotiate downstream licenses. Historical comparability can break. These workflow and data-integration costs support renewal economics, but they do not protect a product that becomes inaccurate, slow, expensive, or incompatible with AI-driven workflows. PitchBook's 2025 licensed users were roughly flat as new logos offset churn, showing that a valuable database still faces substitution and budget scrutiny.
The Morningstar brand can reduce perceived research and governance risk and improve distribution of ratings, indexes, and adviser-facing tools. Its economic effect must appear in renewals, price realization, licensed assets, and transaction mandates—not in name recognition alone. A conflict, methodology failure, or material data error would reverse that benefit because trust is central to the purchase.
2025 revenue was $2.4455 billion: $1.7192 billion license-based, $343.0 million asset-based, and $383.3 million transaction-based. GAAP operating income was $526.6 million, a 21.5% margin, and included a $22.7 million contingent gain from a prior asset sale. Management-defined adjusted operating income was $582.9 million after excluding amortization, M&A items, and designated nonrecurring items. Operating cash flow was $589.7 million; capital expenditure was $147.1 million, producing management-defined free cash flow of $442.6 million.
Subscription unit economics are contract value and retention less data royalties, research and product labor, cloud and software infrastructure, sales commissions, support, and allocated corporate cost. Revenue is usually recognized over noncancellable one-to-three-year terms. $607.1 million of deferred revenue at year-end—$586.1 million current and $21.0 million mainly long-term rating surveillance—provides cash before service completion but is an obligation, not free financing without cost. Accounts receivable were $390.4 million and deferred commissions $65.5 million.
Asset-based revenue moves with market levels, flows, mandate retention, and fee schedules. Transaction revenue, especially credit ratings, depends on issuance volumes and market share and is therefore more cyclical. Segment economics differ materially: 2025 adjusted margins were 44.5% for Direct Platform, 31.3% for PitchBook, 32.4% for Credit, 3.8% for Wealth, while Retirement produced $67.7 million of adjusted operating income on $137.6 million of revenue. Consolidated scale can hide weak economics in an individual product.
Much cost is compensation, data acquisition, technology, research, compliance, and sales. Once a reliable dataset and platform exist, another subscription can carry a high contribution margin, but coverage expansion, AI delivery, cyber resilience, and regulated controls require continuing expense. Capitalized software creates apparent operating leverage before its later depreciation. The value chain also pays source-data owners, exchanges, employees, cloud vendors, redistributors, regulators, advisers, and distribution partners. Incremental return is attractive only if renewal and price exceed these recurring claims plus the capitalized development cost; growth bought through acquisition must also earn on goodwill and intangibles.
Financial information has concentrated global platforms and many specialist suppliers. Large buyers can run procurement across competing datasets, yet data definitions and workflow integration make products imperfect substitutes. Source owners—exchanges, fund managers, governments, and issuers—retain bargaining power over licenses. Redistribution agreements can expand reach while sharing economics and weakening direct customer control.
Entry is easy for a narrow dataset or analytical application and difficult for broad, history-rich, regulated infrastructure. A new entrant can use public filings and modern AI tools, but production use requires legal data rights, normalized histories, security, support, methodology governance, and customer trust. Credit ratings additionally require regulatory registration and issuer acceptance. Index providers need transparent rules, reliable calculation, and assets or products that adopt the benchmark. Exit costs are mostly sunk software, acquired databases, people, and trust rather than physical capacity.
The capital cycle appears through software and data investment, acquisitions, and hiring. High private-market growth attracted databases and point solutions; generative AI lowers interface-building cost and can increase competition for basic research. Incumbents may respond with higher development spending or acquisitions, bidding away returns. In ratings, issuance booms create high transaction margins without physical capacity expansion, followed by sharp volume declines. In asset-based services, rising markets lift fees without equal cost growth, while falling markets reverse the leverage.
Competition benefits customers when providers improve interoperability and cut price. It destroys industry value when overlapping platforms acquire customers below lifetime value or pay escalating fees for commoditizing data. Morningstar's appropriate response is selective depth and workflow integration, not owning every adjacent dataset.
The most credible mechanism is the interaction of accumulated data, methodologies, analyst judgment, workflow software, distribution, and trust. Historical coverage improves comparisons; customers build processes around identifiers and outputs; renewal revenue funds further collection and product development; broader distribution attracts more users and commercial partners. In private markets, researcher relationships and entity linkage can improve a database that is costly to reconstruct. In ratings and indexes, regulatory standing and recognized methodology support adoption.
Direct Platform's 44.5% adjusted margin and $607.1 million of deferred revenue are consistent with valuable recurring workflows, while PitchBook and Credit grew revenue 8.6% and 21.7% in 2025. Those observations support, but do not prove, durable advantage: Credit benefited from transaction volume, and PitchBook's flat licensed-user count shows growth can come from price and mix while customer breadth stalls.
Replication threats include alternative data, open-source models, customer-built systems, and well-funded incumbents. Substitution risk rises if AI agents make interfaces less important or can combine public and licensed data more cheaply. Technology can also strengthen Morningstar if its governed datasets become trusted inputs to AI workflows. Regulation may raise entry cost but can limit ratings, ESG, index, or advisory practices. Distribution can shift toward custodians, cloud marketplaces, or AI platforms that own the customer relationship.
Durability therefore depends on provable data quality, renewal, workflow relevance, and independence. Brand cannot compensate for stale data or conflicted research. A serious ratings or cyber failure could weaken several products at once because trust is shared across the name.
Morningstar sources issuer, fund, market, private-company, and portfolio information; applies validation and entity mapping; adds analyst research and methodologies; stores and calculates outputs; then distributes them through desktops, web tools, feeds, APIs, advisers, indexes, and third parties. Sales and customer-success teams support implementation and renewal. Regulated subsidiaries add surveillance, model validation, compliance, recordkeeping, and conflict controls.
The system involves deliberate trade-offs. Broad coverage increases usefulness but raises data and quality cost. Standardization enables scale but may discard local nuance. Analyst review improves trust but is slower than automated ingestion. Open APIs expand distribution while making the interface less proprietary. Capitalizing software aligns cost with expected use but can obscure the cash required to keep products current. Acquiring specialized datasets accelerates coverage but introduces integration, goodwill, and cultural risk.
Research independence must coexist with commercial sales and issuer-paid ratings. Governance and separation reduce conflicts but add cost and can slow product changes. Morningstar Wealth and Retirement add implementation and fiduciary responsibility, while Direct and PitchBook are primarily information tools; sharing data and technology across them can create efficiency, but a one-size system can misfit regulated legal entities.
Working capital benefits from advance subscription billing, offset by receivables, deferred commissions, annual bonuses, and continuing data and labor obligations. Product development, sourcing, distribution, service, and compliance create value only as a coordinated system. Cutting analysts or controls may raise short-term margin but damage the accuracy that supports renewal.
At December 31, 2025, Morningstar held $474.5 million of cash and equivalents plus $54.2 million of investments. About 81% was outside the United States, so legal-entity needs, tax, and repatriation affect availability; Morningstar repatriated $150.0 million during 2025. Total debt, net of issuance costs, was $1.0726 billion. Contractual principal was $375 million due in 2028 and $700 million due in 2030, with no principal due in 2026 or 2027.
The October 2025 credit agreement provides a $750 million five-year revolver, a $375 million five-year delayed-draw A-1 facility, and a $375 million three-year A-2 facility. Year-end drawings were $373.5 million on A-2 and $350.0 million on the revolver, leaving $400 million of revolver availability and the entire $375 million A-1. These borrowings float at the applicable SOFR, SONIA, EURIBOR, Term CORRA, or BBSY benchmark plus 1.05%–1.425%. A 100-basis-point move on $723.5 million is approximately $7.2 million of annual pre-tax interest before changes in balances or hedging. The fixed component is $350 million of 2.32% notes due October 2030.
Morningstar complied with covenants, and funded debt to consolidated EBITDA was about 1.3 times. Operating cash flow of $589.7 million and $775 million of undrawn facilities at year-end provided meaningful capacity. The filing also disclosed a roughly $165.6 million first-quarter 2026 bonus payment and the February 2, 2026 CRSP acquisition for about $365 million, funded by drawing A-1; those claims reduce the apparent headroom immediately after year-end.
Asset quality requires caution. Receivables depend on institutional customers; goodwill and acquired intangibles depend on projected growth and margins. No goodwill impairment was recorded in 2023–2025, but absence of an accounting charge does not make acquisition value liquid. Investments used to replicate model portfolios can fluctuate. Deferred revenue supports cash conversion but requires future delivery.
A severe scenario combines a market fall that reduces asset fees and issuance, enterprise budget cuts and churn, a major cyber outage or data error, and higher floating rates. Transaction and asset revenue would fall faster than research, cloud, compliance, and compensation costs; customers could delay payment while refunds, remediation, and legal expense consume cash. Morningstar could suspend repurchases, slow acquisitions, reduce discretionary hiring and product expansion, and draw the revolver. Liquidity and the 2028/2030 ladder make a temporary shock survivable, but the post-year-end CRSP draw, overseas cash concentration, and variable-rate debt reduce the margin for a prolonged trust and renewal failure.
Capital is allocated to internal product development, acquisitions, divestitures, debt, dividends, repurchases, and employee equity. The $147.1 million of 2025 capital expenditure was mainly software, technology equipment, and leasehold improvement. Capitalized development should produce renewal or new revenue beyond its roughly three-year amortization life; otherwise it merely shifts cost timing.
Morningstar spent $39.0 million net on 2025 acquisitions and completed the approximately $365 million CRSP acquisition after year-end using debt. It has also sold the U.S. TAMP customer assets and Commodity and Energy Data business. Divestiture gains of $22.7 million in 2025 improved reported operating income but are not recurring operating economics. Acquisition success should be tested through organic growth, integration cost, goodwill recovery, and cash return—not adjusted earnings alone.
In 2025 Morningstar repurchased 1,873,729 shares for $487.0 million under the prior authorization and 1,402,849 for $300.0 million under a new authorization, or 3,276,578 shares for $787.0 million of cash. Equity recorded $794.5 million including related effects. It paid $76.9 million of dividends and declared $1.87 per share for the year. Repurchases greatly exceeded $442.6 million of free cash flow and were partly financed by higher borrowing.
Stock-based compensation was $56.4 million. The company issued 148,079 net shares upon award vesting, and outstanding awards included 259,225 RSUs and 169,453 market stock units, with performance units in addition. Unrecognized award cost was $73.3 million and 1.7 million shares remained available for future grants. Basic weighted shares were 41.9 million and diluted shares 42.2 million; year-end outstanding shares fell from 42.869 million to 39.741 million, and 39.584 million remained on February 6, 2026. Buybacks therefore produced substantial net contraction after employee issuance, but the per-share benefit depends on prices paid and the debt burden created.
Common shareholders retain value when recurring cash growth per diluted share exceeds the cost of software, acquisitions, employee awards, and financing. A shrinking denominator is not sufficient if repurchases consume liquidity before an acquisition or downturn, or if awards recreate shares later.
Credit ratings and investment advice create the highest trust-sensitive exposure. Rating agencies are regulated in the United States, European Union, United Kingdom, Canada, Australia, and other jurisdictions; issuer-paid fees create an inherent conflict that must be controlled. A methodology or independence failure is not necessarily frequent, but severity can be high through registration limits, lost mandates, litigation, and multi-year reputation damage. Fines may be reversible; loss of regulatory standing or market confidence is slower to repair.
Data, index, ESG, and AI regulation is a higher-probability, medium-to-high severity exposure. Privacy, intellectual-property licenses, benchmark rules, ESG-label divergence, and AI provenance can require product changes and increase recurring compliance cost. Most operational changes are reversible over several years, but loss of essential source-data rights or a judicial restriction on reuse can permanently weaken a dataset. EU and U.K. regulatory divergence adds duplicate systems rather than a one-time charge.
Cybersecurity and operational resilience have persistent probability because Morningstar distributes valuable financial information through connected platforms. A material breach, prolonged outage, or corrupted feed could trigger notification, remediation, customer claims, and churn. Technical service can be restored, but leaked data or lost trust is not fully reversible. Wealth and Retirement also carry fiduciary, suitability, trading, and client-asset oversight risk; errors can require restitution and invite regulator supervision.
These exposures can reinforce entry barriers because compliance and governed data are costly, but that does not make the cost harmless. The economic test is whether regulation increases customer trust and retention more than it raises fixed cost or constrains product use.
Morningstar creates value by turning fragmented investment information into standardized data, research, ratings, indexes, and workflows. It can retain value where historical coverage, integration, methodology, and trust make replacement costly and where subscription, asset, or transaction fees exceed recurring data, labor, technology, compliance, and capital needs.
Durability is strongest in embedded, high-quality workflows and recognized regulated products, but AI, source-data bargaining power, strong incumbents, and low-cost specialists can erode it. The February 13, 2026 financing structure can withstand a severe temporary downturn because there is substantial operating cash generation, committed liquidity, covenant headroom, and no principal maturity before 2028. It is less conservative after debt-funded repurchases and the disclosed CRSP draw, and much of the year-end cash was outside the United States.
Common shareholders received a smaller denominator and dividends, but 2025 repurchases exceeded free cash flow and raised the importance of price paid and post-acquisition leverage. Business quality and shareholder value therefore separate at the capital-allocation step.
Disconfirming evidence includes flat PitchBook licensed users, weak Wealth margin, free cash flow below 2024 despite revenue growth, a material portion of profit from transaction-sensitive Credit, and repurchases funded beyond annual free cash flow. The thesis would be invalidated by sustained subscription churn or price compression, data quality or ratings failures that reduce trust, AI substitution without compensating data demand, repeated acquisitions whose goodwill fails to produce organic cash growth, funded leverage rising while renewal and free cash flow weaken, or employee issuance materially offsetting repurchases. Whether the common stock is attractively valued remains a separate question from these business conclusions.
